infinite Group book Subcontractors to carry out activities for itself and its clients. By registering you are agreeing to your details being held on the infinite Group field database and being contacted when suitable opportunities arise. 

  1. General 

  1. You are registered as a Subcontractor with infinite Group. You are engaged under a contract for services and are not an employee of infinite Group. You are free to accept work or to choose not to accept work with no detriment to further offers of work. 

  1. All our Subcontractors are self-employed. This means that you must be registered as self-employed and in possession of a Unique Tax Reference (UTR). 

  1. Whilst infinite Group will endeavour to provide you with activities, there is no guarantee of work due to the nature of our business. 

  1. If you do accept work, we would ask that you keep your commitment to us and carry out that activity and that the work should not be passed onto anyone else without our prior consent. Consent will not be unreasonably refused but will only be agreed where the substitute is able to, and is capable of, carrying out the work and has the relevant experience. Such information should be confirmed, preferably in writing, by the you. 

  1. Due to the nature of the business an activity/campaign may be cancelled at short notice. In such circumstances infinite Group will endeavour to advise you as soon as possible regarding the cancellation, and with as little inconvenience as possible. 

  1. If the Client reasonably considers that your services are unsatisfactory, the Client may terminate the activity either by instructing you to leave the activity immediately, or by directing infinite Group to remove you. 

  1. Failure at any time, and for any reason, to complete an activity or any misrepresentation of skills and/or qualifications may result in a reduction of the agreed fee and you will only be paid for the hours that you have worked. 

  1. Should you arrive late for an activity infinite Group reserve the right to reduce your fee accordingly. 

  1. Activities 

  1. You are required to arrive for your activity as specified in the activity brief which will be issued to you in advance of the activity. You must sign in and complete any local documentation as required by the site or retail outlet you are visiting. 

  1. You will wear appropriate business wear or uniform as directed and will always present a neat and tidy appearance. Any tattoos must be covered during an activity and any piercings, other than ear studs, must be removed. Jewellery should be kept to a minimum. 

  1. You will ensure that you only use your personal mobile as per the activity brief. You should not receive or make personal calls unless in an emergency. 

  1. Cancellation / Sickness 

If you are unable to attend an activity through sickness or injury, you must inform your contact in the Campaign Team at infinite Group, giving as much notice as possible. If you are unable to speak to someone in person you should leave a message which will be dealt with on receipt. 

  1. Activity/Demonstration Equipment 

  1. To assist you through an activity(s) infinite Group or the Client will loan you equipment/stock to carry out the activity. You are required to take receipt of any activity related/demonstration equipment. 

  1. You are liable for any loss or damage to activity/demonstration stock until infinite Group or the client take back possession of the items. 

  1. You shall ensure the activity/demonstration stock is kept in a complete and satisfactory working condition and not dismantled, replaced or altered in any way; or allow any person other than infinite Group to service or repair the activity/demonstration stock. 

  1. Any activity/loan demonstration stock will remain the property of infinite Group or the Client and may be recalled at any time. Upon completion of an activity, all activity/demonstration stock must be returned to infinite Group in the original packaging and in full working order by the stipulated deadline. 

  1. Training Sessions 

  1. infinite Group may request that you attend training sessions prior to the start of an activity to ensure that you are fully conversant with a product or activity. You agree to attend such sessions. 

  1. All guidelines outlined in section 2 and 3 apply to training sessions as well as activities. 

  1. Monies 

  1. You will be paid a set amount as set out in the offer of engagement. 

  1. You must submit an invoice which must be received by infinite Group by the 15th of each month to be paid on the last working day of that month. 

  1. Invoices must be received by infinite Group within 3 months of completing the activity for any due pay to be processed. 

  1. You are engaged on the understanding that infinite Group will not deduct tax and national insurance from any agreed fee. Any fee paid is on the mutual understanding that the you are responsible for paying to HMRC the appropriate Tax and National Insurance Contributions as a registered self-employed Subcontractor. 

  1. infinite Group will not accept responsibility for any delays in the receipt of invoices due to the postal service. 

  1. infinite Group reserves the right to deduct from your fee any sums that you may owe infinite Group or are liable for. 

  1. Payment of fees is also subject to the provision of activity paperwork/data by the stipulated deadline. 

  1. infinite Group will pay, subject to approval, reasonable business expenses (e.g. travel, parking, mileage) incurred whilst undertaking an activity on behalf of the company. Reimbursements will only be made with prior agreement with the Campaign Team, and provided you produce copies of 

  1. appropriate VAT receipts, including petrol receipts to back up a mileage claim. You will need to detail and include your expenses on your invoice that you submit as per 6.2 above. 

  1. Health and Safety Guidelines 

When attending at infinite Group, any client, or other premises you are required to read and comply with all health and safety policies that are given to you. You are responsible for your own health and safety and that of those around you. 

  1. Right of Search 

To protect its legitimate business interests infinite Group reserves the right, on reasonable grounds, to search, your property and clothing on leaving any premises where you have been employed to work. Where possible any such search will be carried out by a person of the same sex as the Subcontractor. 

  1. Data Protection 

  1. In accordance with Article 6 of the General Data Protection Regulations 2016 the Company is required to collect, retain and process personal data about you. By replying to the email, you agree to the terms and conditions. 

  1. infinite Group will hold your details on file and maintain a record of your work for business purposes. infinite Group will keep your details confidential; details will only be used for filling Activities by infinite Group. 

  1. You agree that infinite Group can release anonymous details to our Clients for approval and filling activities. Details released will consist of photographs, location, work history and contact details you have registered with us. 

  1. Confidentiality & Conflicting interests 

  1. During an engagement, you will have access to and be entrusted with confidential information in relation to infinite Group and that of its associated Companies and clients. You may not during the engagement or afterwards use or disclose any confidential information concerning infinite Group and/or that of its associated Companies or clients. 

  1. You are free to take up additional engagements and/or employment outside of infinite Group, however if you decide to take additional engagements from competitors of infinite Group such engagements and/or employment should not cause a breach under this agreement especially those relating to the use or disclosure of confidential information. 

  1. Status 

The relationship between infinite Group and you will be that of an independent self- employed Subcontractor and nothing in this agreement shall render you an employee, worker, agent or partner of infinite Group. 

  1. Governing Law 

This agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with English law who courts shall have exclusive jurisdiction to settle any dispute or claim that arise in connection with this Agreement, the offer of Engagement or the Project Brief. 

  1. Variation of Terms & Procedures 

infinite Group reserves the right to amend or add to your terms and conditions of engagement and to introduce, amend or add to any policies or procedures relating to your engagement at any time. However, you will be notified of any such matters upon consideration of any change.
